Supplier Agreement
Last updated
The terms on which a supplier lists, sells and gets paid on the platform.
This agreement binds Numenor Group LLC (“the platform”) and the business listing experiences for sale on otaplan.com (“the supplier”). It is accepted when the supplier account is opened and is completed by the information shown in the extranet, which forms part of it.
1. Who may sell
A supplier account is open to a business in good standing under the law of the country where it operates. Every listing is moderated before going on sale; the platform may refuse it, ask for a correction, or withdraw a listing already published, giving its reasons in the extranet.
2. The supplier's commitments
- to hold the authorisations, licences, qualifications and insurance its activity and country of operation require, and to maintain them throughout the time it is listed;
- to describe its experiences accurately — duration, difficulty, inclusions, exclusions, meeting point, access conditions, age or health restrictions. An inaccurate description is the leading cause of disputes, and it binds its author;
- to publish only photographs it holds the rights to;
- to honour every confirmed booking, or cancel it without delay as soon as it knows it cannot;
- to keep its availability and real capacity up to date;
- to keep participants safe.
3. Prices, capacity, availability
The supplier freely sets its prices, time slots, languages and capacity. The platform displays them as entered. The price shown to the traveller is the selling price; the commission is deducted from it, not added to it.
4. Commission
The platform takes a commission on each experience sold. The applicable rate is the one shown in the supplier's extranet: it may differ between suppliers and change by agreement, which is why it is not fixed in this page. Any change is notified in the extranet and applies only to later bookings.
5. Collection and payout
The platform collects the price from the traveller in the name and on behalf of the supplier, then pays it out, less commission.
- a statement is a sum of lines frozen at the time of sale: correcting a listing never rewrites a statement already issued;
- an experience is paid out once and only once — that guarantee is enforced in the database, not by convention;
- payout happens after a holding period running from the date of the experience, to cover cancellations, complaints and disputes. That period is shown in the extranet;
- an experience the traveller did not attend without cancelling (“no-show”) is paid out to the supplier: the place had been held.
6. Cancellations and disputes
The supplier chooses its cancellation policy within the frameworks the platform offers, and it binds the traveller exactly as displayed.
In a dispute, the platform examines the evidence in the message thread. It may decide to refund the traveller, in full or in part, including against the supplier's view; the corresponding amount is then withheld from the payout. That is the counterpart of collecting on the supplier's behalf, and the decision is reasoned.
7. Relationship with the traveller
Messages travel through the booking's thread, via a relay address: the supplier never receives the traveller's real email address. It may not use contact details obtained through the platform to solicit business outside it, or to encourage booking an experience listed here off-platform.
8. Taxes and reporting
The supplier alone is responsible for its tax and social obligations, and for issuing invoices to its customers where required.
As a platform operator, Numenor Group LLC may be required to report to tax authorities the identity of sellers and the amounts they have received. The supplier undertakes to provide the necessary information (identity, tax residence, registration number, VAT number where applicable) and to keep it up to date; failing that, listings may be suspended.
9. Personal data
For the traveller data it receives in order to deliver its experiences, the supplier acts as an independent controller: it uses that data only to deliver the booking, does not keep it longer than necessary, and does not reuse it for any other purpose.
10. Suspension and termination
Either party may end the relationship at any time. Bookings already confirmed must be honoured, and the corresponding payouts remain due. The platform may suspend an account without notice in case of danger to participants, fraud, or repeated failure to honour confirmed bookings.
11. Changes
Any change to this agreement is notified in the extranet before it takes effect and applies only to later bookings.
